  1. Registration / Enrolment And Termination:

    By registering for this facility you understand that Nuvama (its group companies, affiliates, subsidiaries and associate companies (hereinafter jointly referred to as “Nuvama Group”) reserve the right, in their sole discretion, to deny you access to this Website or any portion thereof without notice for the following reasons (a) any unauthorized access or use by you (b) if you assign or transfer (or attempt the same) any rights granted to you under this User Agreement or any other agreement that you may have entered with any entity of Nuvama Group; (c) if you violate any terms and conditions of this User Agreement.     Unauthorized use of this Website and systems, including, but not limited to, unauthorized entry into Nuvama Group’s systems, online accounts, client desks, partners & distributor desks, misuse of passwords or misuse of any other information, is strictly prohibited. You shall not use this Website in any manner that could damage, disable, overburden, or impair this Website or service or interfere with any other party’s use and enjoyment of this Website or service. You shall not attempt to gain unauthorized access to any of our site or service and computer systems or networks connected to it, through hacking. You agree that you will not engage in any activities related to this Website that are contrary to the applicable laws or regulations in force. The Users have the primary responsibility to keep their login-ids and passwords secure and to not display such crucial, important information to any third person.     With respect to the data from capital markets and the products made available on the Website by Nuvama including but not limited to mutual funds, research reports, investment advisory, stocks, asset management, etc. YOU HEREBY AGREE THAT:

    You have read and understood the contents of the offer document(s) and addendum(s) thereto of the respective mutual funds / financial products scheme(s) (“Scheme(s)”) and agree to abide by the terms, conditions, rules and regulations of the Scheme(s) applicable from time to time.

    You have understood the details of the Scheme(s) and have not received nor been induced by any rebate or gifts, directly or indirectly, in making investment in such Scheme(s).

    You hereby declare that the amount being invested by you in the Scheme(s) is derived through legitimate sources and is not held or designed for the purpose of contravention of any Act, rules, regulations or any statute or legislation or any other applicable laws or any notifications, directions issued by any governmental, regulatory or statutory authority/ies from time to time.

    You agree that Nuvama sources the data from the capital markets namely NSE and BSE (collectively “Capital Markets”) and is therefore not responsible and/or should not be held liable by you for the incorrectness or inaccuracy of any information received in that regard from the Capital Markets.

    You agree that the National Stock Exchange of India Limited (“NSE”) data displayed on the Website is always delayed by five (5) minutes whereas the Bombay Stock Exchange (“BSE”) data displayed on the Website is delayed by fifteen (15) minutes; and technical glitches if any, may further delay the data at times and that you will not hold Nuvama Group or any of its entity responsible for any such delays in receiving the data / feeds from time to time.

    You agree that the authenticity of the data received from Capital Markets is not guaranteed by Nuvama Group and that Nuvama Group shall assume no responsibility or liability in any manner whatsoever for such data and your subsequent trade, action etc. acting upon such data.

  5. Liability:

    You agree that, Nuvama Group (including its and their officers, directors, employees agents, representatives and subcontractors) shall not be, in any event, liable, whether in contract or tort, for any direct, special, indirect, consequential or incidental damages or other damages of any kind whatsoever arising out of the use or inability to use the Website for any purpose/reason whatsoever even if Nuvama Group or any other such party has been advised of the possibility thereof. Nuvama Group and its and their officers, directors, employees and agents shall have no liability in tort, contract, or otherwise to User of the Website and/or any third party. This limitation on liability includes, but is not limited to, the transmission of any viruses which may infect a User’s equipment, failure of mechanical or electronic equipment or communication lines, telephone or other interconnect problems (e.g., you cannot access your internet service provider), unauthorized access, theft, operator errors, strikes or other labor problems or any force majeure. Nuvama Group cannot and do not guarantee continuous, uninterrupted or secure access to this Website.

  7. Indemnification:

    You shall indemnify, defend and hold harmless, Nuvama Group (including its and their officers, directors, employees, agents, representatives and subcontractors) from any and all claims and losses imposed on, incurred by or asserted as a result of or related to: (a) your access and use of the Website (b) any non-compliance by you with the terms and conditions of the User Agreement hereof; or (c) any third party actions related to your receipt and use of the Information, whether authorized or unauthorized. If Nuvama takes action (by itself or through Nuvama Group companies) to enforce any of the provisions of this User Agreement, including collection of any amounts due hereunder, Nuvama shall be entitled to recover from you (and you agree to pay), in addition to all sums to which it is entitled or any other relief, at law or in equity, reasonable and necessary attorney’s fees and all costs of any litigation.

  8. Entire Agreement And General Provisions:

    This User Agreement constitutes the entire agreement between you and Nuvama, and is inclusive of any other written agreement existing between you and Nuvama. By using the information on the Website (“Information”), you assume full responsibility for any and all gains and losses, financial, emotional or otherwise, experienced, suffered or incurred by you. Nuvama does not guarantee the accuracy, completeness or timeliness of, or otherwise endorse in any way, the views, opinions or recommendations expressed in the Information displayed on the Website, does not give investment advice, and does not advocate the purchase or sale of any security or investment by you or any other individual. Any clause hereof declared invalid shall be deemed severable and not affect the validity or enforceability of the remainder provisions hereof.

  9. Governing Law And Jurisdiction:

    The terms of this User Agreement are exclusively based on and subject to Indian law. You hereby consent to the exclusive jurisdiction and venue of courts in Mumbai, Maharashtra, India in case of any and all disputes arising out of or relating to the use of this Website. Use of this Website is unauthorized in any jurisdiction that does not give effect to all provisions of the User Agreement, including without limitation this paragraph.

  10. Risk Management Policy:

    The provisions of this risk management policy (“Risk Management Policy”) shall be applicable to you if you are a client of Nuvama availing stock broking services from NWIL pursuant to the contractual arrangement between you and NWIL.

    You unconditionally and irrevocably acknowledge and agree that:

        1. NWIL reserves the right in its sole and absolute discretion to sell your securities or close your existing position , without giving notice to you.
        2. As per clause 5 of the agreement entered between you and NWIL, NWIL is entitled to liquidate/close-out all or any of your positions for non-payment of margins or other amounts, outstanding debts, etc. and adjust the proceeds of such liquidation/close-outs, if any, against your liabilities/obligations.
        3. If you have negative ledger due to MTM losses or unsettled obligation you will have to regularize the same by transferring funds or selling off collaterals by T+2 (T+1 in case of MTM obligations) failing which necessary action will be taken by NWIL to regularize the account.
        4. Also, in the event of persisting margin shortfall / ledger debits the Futures & Options (F&O) position would be squared off and later on adequate collaterals will be squared off to recover the Mark to Market (MTM) losses in case no action is initiated by you or your authority.
        5. For the above purpose, risk management team of NWIL will take into consideration the applicable margin/collateral requirement based on the set standards considering the risk element involved in the same. The applicable haircuts for acceptable scrips for the margin/collateral by NWIL are available for the clients in the trading section under Stock List under collateral master.
        6. This Risk Management Policy is applicable for overdue and/ or shortage in payment not made by you whether arising out of margin shortfall or on account of pay/ in payout obligations. Your margins will be monitored intra-day during the market hours, and your position or collaterals may be liquidated, at the discretion of NWIL, in case of any shortfall without any notice to you. While arriving at the amount of margin shortfall or obligation due, NWIL reserves the right to consider/disregard cheques and securities under clearance. You are requested to keep a track of your margin positions and ensure that appropriate margins are placed with NWIL at all points of time to avoid any forceful square up. NWIL, at its discretion may in addition or on a standalone basis levy delayed payment charges and/ or additional penalties.
        7. In terms of the above Risk Management Policy, any and all losses and financial charges on account of such liquidation/closing-outs shall be charged to and borne by you.

With nearly two decades of experience in trading and investment across multiple asset classes in both Indian and offshore markets, Saurabh brings a wealth of expertise to his role. Prior to joining Nuvama Private in October 2018, he held the position of Head of Products at Kotak Wealth Management. Before that, he spent over two years as the Head of International Products at IIFL Wealth Management, where he played a key role in establishing their international investment platform. Saurabh also gained valuable experience during his tenure at ICICI Group and Citi Group.

Shweta Shah, Head of Wealth Structuring and Estate Planning, is a Chartered Accountant and Lawyer with over 20 years of post-qualification experience in estate and succession planning, wealth structuring, family governance, and cross-border structuring.
Since joining the firm in 2014, Shweta has been instrumental in building and strengthening the Wealth Structuring and Estate Planning practice, conceptualising the practice framework, developing its offerings, and creating bespoke solutions for promoter families, business owners, and ultra-high-net-worth individuals. With a multidisciplinary understanding of law, taxation, and family governance, Shweta advises clients on the creation of Trusts, Wills, Family office, Family constitutions, Overseas structures, Asset protection structures, Philanthropy Structures and Ownership frameworks to facilitate seamless wealth transition. She also advises families and business owners on establishing overseas structures for their business and investment needs, including cross-border holding structures and investment vehicles, while considering applicable tax, regulatory, and governance requirements across jurisdictions.

She has extensive experience in advising business families on succession planning for both business and personal assets, including families with global footprints and cross-border considerations. Her expertise also includes advising promoter families of listed and pre-IPO companies on promoter trusts and governance structures, as well as assisting families with overseas assets, NRIs, and global citizens in navigating complex estate planning requirements across jurisdictions. She has also worked with parents of children with special needs in creating long-term structures to provide continuity of care and financial security.

Prior to joining the firm, Shweta spent nearly nine years with Ernst & Young (EY) in the Mergers & Acquisitions Tax practice, advising on domestic and cross-border transactions, corporate restructuring, mergers, acquisitions, and complex estate planning matters. This experience provides a strong commercial and tax perspective in advising families on the ownership, transition, and stewardship of wealth.

She is a regular speaker at industry forums on estate planning, succession planning, and family governance. She is also the co-author of EY’s publication on Mergers & Acquisitions, released in 2012 and 2013.

He founded the Family office practice, introducing Wealth Structuring and Estate Planning services tailored for Ultra High Net Worth Individuals (UHNIs). His innovative approach and expertise have greatly benefited the firm’s discerning clientele.

In addition to his accomplishments in the wealth management space, Alok also oversaw the Products and Investment Advisory functions for a commendable four-year period. His strategic insights and deep understanding of the market have contributed to the firm’s success in providing exceptional investment guidance and tailored product offerings.

Alok has over 25 years of work experience and holds a Master’s degree in Economics from the Delhi School of Economics, Delhi University. Prior to joining us, Alok was associated with Darashaw. He set up and anchored the company’s business in Singapore with focus on Wealth Management & Strategic Initiatives. Post this global exposure, he spearheaded the Investment Management and Private Client platform at Darashaw in Mumbai. He has also been associated with HDFC Bank where he looked after Funding & Banking Solutions for Large Indian Corporates & MNCs as part of the corporate banking group.
